What Is a Primary Market? | The Motley Fool

A primary market is a capital market where securities are created and sold directly to investors when they're first issued. The securities can then be resold on a secondary market, like a stock exchange or the bond market. Here are some common types of primary market issues: Initial public offering (IPO): A privately held company offers to sell its shares to the public for the first time through an initial public offering (IPO). After the IPO, the company's shares will begin trading on the secondary market, i.e., a stock exchange.A primary market is where newly created securities are sold, while a secondary market involves securities traded among investors. Let's break down the differences a bit further. Who can invest: Opportunities for investing in a primary market are often limited to financial institutions, corporations, and accredited investors, while secondary markets are often accessible to the general public. How many times a security can be traded: A newly issued security can only be sold once on the primary market, but it can be bought and sold an unlimited number of times on secondary markets. Where proceeds go: When a company issues a new securities offering on a primary market, it receives the proceeds from the new issuance and can use the money for things like growth, acquisitions, research and development, debt repayment, or general corporate purposes. But when those same securities are bought and sold on secondary markets, money from the transaction goes to investors rather than the issuing company. Pricing: On a primary market, securities are offered at a fixed price that's determined during the underwriting process.

Stock market today: Dow, S&P 500, Nasdaq tumble as rising yields, Trump tariff uncertainty rattle markets

Wall Street entered September trading under pressure as investors weighed tariff uncertainty and questions about Fed independence. Those bets face a key test in Friday’s August jobs report, with job openings and private payrolls due ahead of it. Meanwhile, an update Tuesday showed U.S. manufacturing contracted for the sixth straight month in August. Markets are currently pricing in roughly 90% odds of a 25 basis point rate cut in September, but this week's data could help make the case for deeper easing. The appeals court on Friday found Trump exceeded his authority by using emergency powers to impose sweeping tariffs, affirming an earlier ruling from the Court of International Trade. The judges allowed the tariffs to remain in place while the case proceeds. Trump blamed Tuesday's market sell-off on investor concerns over the tariff uncertainty: "Without tariffs, we have an entirely different country,” he said.Shares of the cloud and e-commerce giant were down 2.2%, while Alphabet (GOOGL, GOOG) stock dropped over 2.1%. AI chipmaker Nvidia (NVDA) pared earlier losses to fall roughly 1.3% Tuesday morning after leading the Mag 7 down in premarket trading. Stock market today: Dow, S&P 500, Nasdaq climb to records as sharp jobs revision sets stage for inflation data

Wall Street is looking ahead to Apple's annual iPhone event ahead of the release of critical inflation data later in the week. US stocks hit fresh records on Tuesday as investors digested a revision to US jobs numbers that showed further labor market weakness and braced for key inflation data that could reset expectations for interest-rate cuts. The Dow Jones Industrial Average (^DJI) climbed nearly 0.5% to close above 45,725. The S&P 500 (^GSPC) rose 0.3% to also notch a fresh record close above 6,512.Labor market data released by the Bureau of Labor Statistics on Tuesday showed the US economy likely added 911,000 fewer jobs than previously thought in the 12-month period through March 2025 — a steeper revision than expected. The otherwise regular update took higher economic and political prominence than usual as debate reigns over how the Federal Reserve will react to the data after a slew of indications that the labor market is slowing down. So far, those signs have convinced traders that an interest-rate cut is coming when Fed policymakers meet next week.I found it interesting she put a more refined release timetable to Jony Ive's new hardware he is secretly working on for the company. Ive is, of course, one of the key masterminds behind the iPhone. ... US stocks closed at fresh records on Tuesday as the market shrugged off a downward revision to US jobs numbers and investors turned their focus to this week's inflation print.

Our new report, “There’s No Such Thing as Private Market Assets in the Hands of the General Public,” explains the fundamental problem with the push to bring private market asset “to the masses.” The push to bring private market assets to the masses overlooks the fact that, once this is accomplished, the assets are no longer private.Allowing private funds to sell to retail investors would essentially eliminate the fundamental distinction between public and private markets. If supposedly private market assets are sold to the general public, they could no longer be private offerings that are part of the private markets. This means that what is at stake in the debate about opening up the private markets is not simply whether private funds get to sell their assets to retail investors. What is at stake is the regulatory regime Congress envisioned when it enacted our securities laws. The most prominent exemption is for private securities offerings, which are offerings that are not sold to the general public. The required disclosures in public offerings need not be provided to investors in private offerings because these “accredited investors” can supposedly fend for themselves. This exemption is the basis for the private markets.

Three major investment banks crank up their stock market forecasts, citing AI trade, muted tariff impact

U.S. Markets ... Josh BrownNEW! ... Several Wall Street firms hiked their year-end outlooks for the S & P 500 , citing continued strength in the artificial intelligence trade and easing concerns tied to tariffs. Deutsche Bank said the broad index can now ended the year at 7,000, up from 6,550. The S & P 500 hit a new record high of 6,550 early Wednesday following some tame inflation data. These firms said the optimism around AI and weaker inflation impacts from President Donald Trump's levies than initially expected can help investors overlook economic concerns stemming from the weakening labor market. The "music stops when AI capex stops. Enjoy the party," Wells Fargo analyst Ohsung Kwon wrote to clients in a Tuesday night note, using shorthand for capital expenditures. "Yes, there is froth," Kwon added. "But as long as AI capex remains intact, the bull market should continue."Though Chadha acknowledged lofty equity valuations, he said they have been driven higher by payout ratios and expectations for resilient earnings growth. (Chadha will be on CNBC's "The Exchange" at 1pm Wednesday to discuss his new forecast.) Venu Krishna, Barclay's head of U.S. equity strategy, said the Federal Reserve should lower interest rates three times before the end of 2025 as a way to "counterbalance" the macroenvironment given rising fears around the labor market..SPX YTD mountain The S & P 500 in 2025 Trump's tariffs prompted worries that subsequent price increases could push the Fed to keep interest rates higher for longer, creating an overhang on the stock market. However, Fed funds futures are pricing in 100% certainty of a cut when the central bank meets next week, according to CME's FedWatch tool.
